Constitution - Bermuda Chapter of the International Association of Administrative Professionals ® Chapter Number 212710
ARTICLE 1 - NAME
The name of the organization shall be the Bermuda Chapter of the International Association of Administrative Professionals®, with Headquarters in Hamilton Bermuda. English shall be the official language. The duration shall be perpetual.
ARTICLE 2 - MISSION STATEMENT
The mission of the Bermuda Chapter of the International Association of Administrative Professionals ® is to be the acknowledged, recognized leader of office professionals and to enhance their individual and collective value, image, competence and influence.
ARTICLE 3 - OBJECTIVES
The objectives of the Bermuda Chapter of the International Association of Administrative Professionals ®
Shall be to elevate the standards of administrative professional and to promote its working relationship with management through continuing education, authorized programs, and publications.
ARTICLE 4 - AIMS
The aims shall be:
(a) To establish a Register of secretaries/administrative assistants/office professionals in Bermuda.
(b) To encourage all individuals who are eligible for membership to join it.
(c) To promote and market the Association to encourage closer unity among administrative professionals in Bermuda and maintain affiliation with other organizations with similar aims.
(d) To raise the standards of administrative professionals in Bermuda.
(e) To collate and disseminate relevant and up-to-date information to Professional, Professional-merited, Student and Associate members.
(f) To provide assistance to members in respect of their efforts to further their educational and professional development.
(g) To serve as a coordination agency for contact or affiliation with international organizations.
(h) To serve as a coordinating agency for discussion with other regional institutions and organizations with which the Bermuda Chapter of the International Association of Administrative Professionals ® may become affiliated.
(i) To carry out such other aims in the interest of the administrative profession as may be determined from time to time by the Officers of the Bermuda Chapter of the International Association of Administrative Professionals ®.

ARTICLE 5 - DEFINITION OF AN ADMINISTRATIVE PROFESSIONAL
An Administrative Professional shall be defined as an individual who possesses a mastery of office skills, demonstrates the ability to assume responsibility without direct supervision, exercises initiative and judgment, and makes decisions within the scope of assigned authority.
ARTICLE 6 - STRUCTURE
The Bermuda Chapter of International Association of Administrative Professionals ® shall be a non-profit, non-union, non-partisan, non-sectarian, organization whose members shall have the sole right to govern and control all activities through their duly elected Officers.
ARTICLE 7 - MEMBERSHIP
Section 1 Classification and Qualifications. There will be four classifications of membership: Professional, Professional-Merited, Student and Associate.
A. A Professional member shall, at the time of admission to membership, be:
1. A person who is, or within the last two years, has been employed as a administrative professional or who has attained the Certified Professional Secretary (CPS) rating; or
2. A teacher who is employed in the teaching of business education.
A Professional member shall have the rights and privileges of full participation at all levels of the Bermuda Chapter of International Association of Administrative Professionals® for which applicable dues and fees have been paid.
B. A Professional-Merited member shall be a member who:
1. Has been a Professional member for five years at the time of retirement; and
2. Has either attained the age of fifty-five years or received forced work retirement because of physical disability.
A Professional-merited member shall have the rights and privileges of Professional membership.
Classification change to Professional-merited shall become effective only at the beginning of the fiscal year.

C. A Student member shall, at the time of admission to membership, to enrolled as a student of
Business education. Membership in the Student classification shall not extend beyond four years. A Student member shall not serve as a Delegate of Alternate at the International level. Student members are non-voting members.
D. An Associate member shall, shall be an individual, firm, or educational institution which sustains the objectives of the Bermuda Chapter of the International Association of Administrative Professionals®. An Associate member shall not serve as a Delegate or Alternate at the International level. Associate members are non-voting members.
Section 2 Honorary members who were granted Honorary status shall retain this designation.
ARTICLE 8 - INTERNATIONAL DUES AND FEES

Section 3 Annual Bermuda Dues

Section 5 Renewal of Membership
Membership shall be renewed each year by the payment of International dues and applicable Division and Bermuda Chapter dues.

A. IAAPtm Headquarters shall send notices of dues renewal to all members in accordance with procedures approved by the International Board of Directors.
B. All International renewal dues must be submitted to the Bermuda Chapter of International Association of Administrative Professionals ® for forwarding to IAAP tm Headquarters. The Bermuda Chapter of the International Association of Administrative Professionals ® annual dues must be submitted at the same time. Membership shall be forfeited if international and local dues are not paid within thirty days of due date.
Section 6 Reinstatement
A. A member who resigns or is dropped for non-payment of dues may be reinstated by payment by payment of the current year's dues within 30 days of the member's dues renewal due date.
B. A member who has forfeited membership for any reason and wishes to reinstate within the next two years may do so by payment of the $15 processing fee and the current year's dues and shall retain membership tenure.
C. A member who has forfeited membership for any reason and has permitted more than two years to lapse shall reapply as a new member and shall forfeit tenure of past membership.
Section 7 Fiscal Year
The fiscal year of the Bermuda Chapter of the International Association of Administrative Professionals ®
Shall be July 1 through June 30.
ARTICLE 9 - OFFICERS, QUALIFICATIONS, NOMINATION AND ELECTION, TERMS & DUTIES
Section 1 Officers
Officers shall be a President, a President Elect, Vice President/Public Relations Officer, a Recording Secretary, Corresponding Secretary and Treasurer.
Section 2 Qualifications
a) A candidate for office should be a member in good standing for a minimum of one year.
b) A candidate, at the time of nomination and election, shall be employed full time in accordance with the IAAPTM definition of an administrative employee professional.

Section 3 Nomination and Election
A. Nomination
1. Committee on Nominations shall:
a) Furnish detailed instructions for submitting names and qualifications of candidates for Office to each member of the Bermuda Chapter of the International Association of Administrative Professionals® two months prior to election.
b) Any member may nominate in writing any one of its qualified members as a candidate for Office.
c) Nominations may also be made from the floor at the Annual General Meeting, provided that the qualifications and supporting documents have been submitted and approved by the committee on Nominations prior to the nomination being made. Such nomination from the floor must receive a proposer and a seconder from any member in attendance.
B. Election
Election of the Officers of the Bermuda Chapter of the International Association of Administrative Professionals ® shall take by majority vote of the members voting at the Annual General Meeting.
Section 4 Term Of Office
Officers shall serve for a minimum of one (1) year or until their successors are elected, and their term of office shall begin after installation ceremony and shall take place within six (6) weeks of the Annual General Meeting at which they are elected.
Section 5 Duties and Responsibilities
Officers shall be obligated to uphold and represent the interests of the Bermuda Chapter of the International Association of Administrative Professionals ® and the profession as a whole.
A. The President shall:
1. Be Chief Executive Officer and official spokesperson for the Bermuda Chapter of International Association of Administrative Professionals ®;
2. Perform the duties prescribed by this Constitution;
3. Appoint all Committees;
4. Call meetings of the Officers whenever such meetings are necessary;

5. Keep the President Elect fully advised on all matters concerning the Bermuda Chapter of International Association of Administrative Professionals®;
6. Call a meeting of the Members at Large, provided at least two-thirds are in attendance, to elect a Delegate and an Alternate to attend annual conventions;
7. Preside at all meetings of the Officers and Members-at-Large;
8. Supervise all activities of the Bermuda Chapter of the International Associations of Administrative Professionals®;
9. Approve any mailing to the membership prior to mailing.
B. The President Elect shall:
1. Perform duties delegated by the President;
2. Chair or serve as liaison on special projects;
3. In the temporary absence of the President, assume the chair and act as presiding officer.
C. The Vice President/Public Relations Officer shall:
1. Perform duties delegated by the President;
2. Chair or serve as liaison on special projects;
3. Market the Chapter and act as liaison for disseminating information about the Chapter to the General Public.
D. The Recording Secretary shall:
1. Be responsible for the minutes of all proceedings at all formal meetings;
2. Attest all documents required for execution by the President;
3. Keep copies of all official documents of the Chapter;
4. Keep an accurate record of the membership of the Chapter;
5. Present a complete written report for meetings;
6. Perform any other duties assigned by the President.
E. The Corresponding Secretary shall:
1 Assist the Recording Secretary in the performance of his/her duties and shall act in the absence of the Recording Secretary;
2. Assist with the general correspondence for the Chapter and performs any other duties as assigned by the President.
F. The Treasurer shall:
1. Be responsible for all funds of the Bermuda chapter of the International Association of administrative Professionals ® and for the records of its financial affairs;

2. Submit application forms of new members and renewal dues to IAAP Headquarters as and when necessary;
3. keep a complete and accurate record of Chapter membership;

4. Settle all accounts payable;
5. Prepare Statement of Accounts quarterly for Officers of the Chapter;
6. Prepare Financial Statements at the end of each financial year, i.e. June 30th;
7. Ensure that the books and records of the Bermuda Chapter of the International Association of Administrative Professionals ® be open to any member at all times.
Section 6. Vacancies
In the event of a vacancy in the Office of:
A. President. The President Elect shall succeed to the Office for the unexpired term and shall be eligible to seek election to the Office of President for the following year.
B. President Elect. The Vice President/Public Relations Officer shall succeed to the Office for the unexpired term and shall be eligible to seek election to the Office of President Elect for the following year.
C. Vice President/Public Relations Officer. The Officers shall appoint a member to fill that office for the unexpired term and shall be eligible to seek election tot the Office of President Elect for the following year.
D. Recording Secretary. The Corresponding Secretary shall succeed to the Office for the unexpired term and shall be eligible to seek election to the Office of Recording Secretary for the following year.
E. Corresponding Secretary. The Officers shall appoint a member to fill that Office for the unexpired term.
F. Treasurer. The Officers shall appoint a member to fill that Office for the unexpired term.
Section 7 Removal From Office
The Officers may, by three-fourths vote of its membership, remove any officer for misconduct or neglect of duty. The Officers shall request the resignation of such Officer form the respective Office. If such resignation is not received by the Officers within ten days after such resignation has been requested, the

Officers are empowered to and shall thereon declare such Office vacant, and such office shall be filled in accordance with provisions of Section 6 of this Article.
ARTICLE 10 - PROCEDURE AT MEETINGS
In the absence of any provisions in the Constitution pertaining to a particular matter arising out of the business of a meeting, the ruling of the Officers shall be final and binding for that particular meeting only.

Notwithstanding the provisions of Article 11, all decisions taken at meetings of the Officers shall be by the show of hands unless and except when the meeting decides otherwise. In the event of a tie, the President has a casting vote.
Notwithstanding the provisions of Article 11, all decisions taken at meetings of the Membership shall be by the show of hands or by secret ballot.
ARTICLE 11 - MEETINGS
There shall be an Annual General Meeting to conduct the business of the Chapter, and such other workshops, seminars or forums as approved by the officers of the Chapter to support the objectives of IAAP TM.
Quorums
Annual General Meeting - one third of its membership. Officers Meetings - one third of its members. Members-At-Large Meetings - one third of its membership.
Meetings
There shall be four (4) meetings of the Officers of the Bermuda Chapter of International Association of Administrative Professionals ® per annum unless otherwise advised by the President.
The shall be an Annual General Meeting at the end of each financial year.
ARTICLE 12 - REVENUE
No income, contributions, or other revenue or funds shall insure to the benefit of any individual member.

The finances of the Chapter shall comprise:
a) Annual dues form Members
b) Fundraising drives
c) Contributions
d) Donations
e) Grants/Awards
The Chapter may utilize any revenues towards the furtherance of its aims and objectives as directed by its President.
ARTICLE 13 - CODE OF ETHICS
a) An Administrative Professional shall act as a trusted agent in professional relations, implementing responsibilities in the most competent manner and exercising knowledge and skill to promote the interests of the immediate and corporate employer.
b) The administrative Professional shall strive to maintain and enhance the dignity, status, competence and standards of the professional and its practitioners.
c) The Administrative Professional shall insist that judgments concerning continued employment, compensation and promotion be based upon professional knowledge, ability, experience and performance.
d) The Administrative Professional must consider the promotion and preservation of the safety and welfare of the public to be the paramount duty.
ARTICLE 14 - DISSOLUTION
In the event of dissolution, abandonment, or terminations of the Chapter, no income, contribution, or other revenue or funds shall inure to the benefit of any individual or of any group not affiliated with IAAP TM, and any and all assets then possessed by the Chapter, after current indebtedness has been paid, shall go and be delivered forthwith to International Association of Administrative Professionals ®.
ARTICLE 15 - AMENDMENTS
Bylaws. These Bylaws may be amended by any of the following methods:
a) At any meeting of the Chapter by a two-thirds vote, provided the proposed amendments shall have been mailed to the members at least ten days prior to the meeting date or have been read at the previous regular meeting.

b) By unanimous vote, if not distributed as required in A of this section.
